General Terms and Conditions – Analysis Modules

These General Terms and Conditions apply to all Analysis Modules of SmartTech Maintenance, located in Dongen, the Netherlands (Chamber of Commerce no. 98866168, hereinafter: the “Contractor”). Analysis Modules are clearly defined analysis and advisory assignments with a fixed scope and fixed price, focused on internal transport systems.

1. Definitions

• Contractor: SmartTech Maintenance.
• Client: any legal entity or business purchasing an Analysis Module.
• Analysis Module: a predefined analysis assignment with fixed scope, fixed price and fixed deliverable.
• Report: written analysis and advisory report (PDF).

2. Applicability

• These terms apply to all Analysis Modules.
• Deviations are only valid if agreed in writing.
• The Client’s general terms and conditions are expressly excluded.

3. Nature of the services

• Analysis Modules are knowledge-, data- and experience-driven services.
• SmartTech Maintenance provides a best-efforts obligation, not a results obligation.
• Analyses are based on data and assumptions provided by the Client.

4. Scope and limitations

• The scope of the Analysis Module is defined in the quotation.
• Not included unless explicitly agreed in writing:
  • On-site activities
  • Implementation or execution
  • CMMS configuration
  • Operational support
• Any scope expansion requires an additional quotation.

5. Fees and payment

• Analysis Modules are delivered at a fixed price.
• All prices, fees and cost indications are exclusive of VAT, unless explicitly stated otherwise.
• Full advance payment (100%) is mandatory.
• The analysis starts only after full payment has been received.
• If payment is not received, the assignment will not be started.

6. Planning and lead time

• Lead times are indicative and depend on timely and complete data delivery by the Client.
• Delays due to incomplete or late data do not entitle the Client to a discount or termination.

7. Use of the report

• The report is intended for internal use by the Client only.
• Sharing with third parties is only permitted with prior written consent from SmartTech Maintenance.

8. Intellectual property

• All methodologies, models and formats remain the property of SmartTech Maintenance.
• The Client receives a non-exclusive right to use the report.

9. Liability

• SmartTech Maintenance is not liable for decisions made based on the analysis.
• Liability for indirect damage, consequential loss or loss of profit is excluded.
• Liability is limited to the invoice amount of the relevant Analysis Module.

10. Cancellation

• Cancellation after acceptance and payment does not entitle the Client to a refund.
• Analysis Modules involve immediately deployable knowledge and capacity.

11. Governing law

• Dutch law applies exclusively.
• Disputes will be submitted to the competent court in the Netherlands.
