1. Definitions and applicability
These Terms & Conditions apply to quotations, order confirmations, agreements and services of SmartTech Maintenance for business clients, unless agreed otherwise in writing.
For business services provided by SmartTech Maintenance in interim maintenance, maintenance engineering, maintenance improvement and technical support.
Purpose: to provide clarity in advance about cooperation, performance, payment, responsibilities and risks. Assignment-specific arrangements are recorded in the quotation or order confirmation.
These Terms & Conditions apply to quotations, order confirmations, agreements and services of SmartTech Maintenance for business clients, unless agreed otherwise in writing.
Quotations are non-binding unless expressly stated otherwise. The scope, rates, location and specific arrangements are recorded as far as possible in the quotation, order confirmation or other written agreement.
SmartTech Maintenance performs assignments to the best of its knowledge and ability and in accordance with good professional practice. Services may include interim maintenance, coordination, work preparation and planning, maintenance engineering, improvement, analysis and technical support.
The client provides timely access, information, documentation, safety information and cooperation reasonably required to perform the assignment properly.
SmartTech Maintenance follows reasonably communicated site safety and access rules. The client is responsible for providing a safe working environment and relevant risk and permit information.
Unless stated otherwise, rates exclude VAT. Hours, travel time, mileage and other costs are charged according to the assignment. Work outside the agreed scope may be treated as additional work.
Invoices are payable within 14 days unless another payment term has been agreed in writing. Statutory commercial interest and reasonable collection costs may apply to overdue payments where permitted by law.
Schedules are based on circumstances known at the time. A deadline is only a strict deadline when expressly agreed in writing.
SmartTech Maintenance aims to provide practical and technically substantiated services. A specific technical, financial or operational result is only guaranteed when expressly agreed in writing.
Liability for direct loss attributable to a failure in performance is limited insofar as legally permitted and subject to the applicable agreement and insurance cover. SmartTech Maintenance is not liable for indirect loss where such exclusion is legally permitted.
Rights in original methods, models, formats, analyses and materials developed by SmartTech Maintenance remain with SmartTech Maintenance unless agreed otherwise in writing.
Parties treat confidential business, technical and commercial information received in connection with an assignment as confidential, subject to legal disclosure obligations.
Where appropriate, third parties may be engaged after coordination with the client. Responsibility for third parties directly contracted by the client remains with the client unless otherwise agreed.
A party is not required to perform to the extent performance is prevented by circumstances reasonably beyond its control.
Duration and notice arrangements are set out in the specific agreement. If no arrangement is agreed, a continuing agreement may be terminated in writing with reasonable notice.
The client should report concerns about performance as soon as reasonably possible, providing sufficient information to assess the issue.
Dutch law applies. Parties first seek to resolve disputes through consultation; unresolved disputes are submitted to the competent Dutch court unless otherwise agreed.
If any provision is unenforceable, the remaining provisions remain in force. Version: October 2026.
